1. Acceptance of Terms

Welcome to GenieTok™, an AI-powered application builder platform operated by AppDaddys, Inc. ("Company," "we," "us," or "our"). By accessing or using the GenieTok™ platform, website, services, or any applications made available by AppDaddys, Inc. (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

GenieTok™ provides an AI-powered platform that enables users to create websites, landing pages, and web applications through natural language prompts and visual editing tools. Our Service is designed to make web development accessible to users without coding experience.

IMPORTANT NOTICE: While GenieTok™ provides an easy-to-use solution for basic websites and landing pages with no coding required, there may come a time when complex applications that you wish to build on our platform may require some knowledge of coding or HTML experience. Please keep in mind that AI is an evolving technology and it can make mistakes—sometimes things fail. Use of this platform is at your own risk.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

4. Subscription Plans and Token Usage

GenieTok™ operates on a subscription and token-based model. Tokens are used to access AI generation features. Subscription plans and token packages are subject to change. All fees are non-refundable unless otherwise stated or required by law.

5. User Content and Intellectual Property

You retain ownership of content you create using GenieTok™. However, you grant us a non-exclusive, worldwide, royalty-free license to host, store, and display your content solely for the purpose of providing the Service. You are solely responsible for ensuring your content does not infringe on any third-party rights.

6. Prohibited Uses

You agree not to use the Service to:

• Create content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for any fraudulent or deceptive purposes
• Violate any applicable laws or regulations

7. AI Technology Disclaimer

The GenieTok™ platform utilizes artificial intelligence technology to generate code and applications. You acknowledge and understand that:

• AI-generated content may contain errors, bugs, or unexpected behavior
• AI technology is continuously evolving and may produce inconsistent results
• Complex applications may require manual code adjustments or professional development expertise
• We do not guarantee that AI-generated code will be error-free or suitable for production use without review
• You are responsible for testing and validating all generated content before deployment

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APPDADDYS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

UNDER NO CIRCUMSTANCES SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO APPDADDYS, INC. FOR SUBSCRIPTION FEES OR TOKEN USAGE DURING THE ONE (1) YEAR PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Covenant Not to Sue

BY USING THE GENIETOK™ PLATFORM, YOU AGREE TO A COVENANT NOT TO SUE. Before initiating any legal action or claim against AppDaddys, Inc., you must first pursue resolution through the dispute resolution procedures outlined in Section 10 below. You expressly waive any right to bring a lawsuit or other legal proceeding without first completing the mandatory arbitration and mediation process.

10. Dispute Resolution: Mandatory Arbitration and Mediation

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through the following mandatory process:

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. The exclusive jurisdiction and venue for any disputes arising under these Terms shall be the state and federal courts located in Broward County, Florida, and you hereby consent to the personal jurisdiction of such courts.

12. Hold Harmless and Indemnification

You agree to defend, indemnify, and hold harmless AppDaddys, Inc., its officers, directors, employees, agents, affiliates, and all third-party vendors, service providers, and partners providing services directly related to or referred by the GenieTok™ platform (including but not limited to hosting providers, payment processors, AI service providers, and deployment platforms) from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create, publish, or deploy using the Service.

13. Force Majeure and Cyber Security Events

YOU EXPRESSLY AGREE TO HOLD HARMLESS AND COVENANT NOT TO SUE APPDADDYS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND ALL THIRD-PARTY VENDORS FOR ANY DAMAGES, LOSSES, OR DISRUPTIONS ARISING FROM FORCE MAJEURE EVENTS OR CYBER ATTACKS. Force majeure events include, but are not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, pandemics, strikes, or other events beyond our reasonable control.

Additionally, you acknowledge and agree that:

• Cyber Attacks on Your Application: In the event of any cyber attack, hacking attempt, data breach, distributed denial-of-service (DDoS) attack, malware infection, or other malicious cyber activity directed at any application, website, or content you create, host, or deploy using the GenieTok™ platform, you agree to hold harmless and covenant not to sue AppDaddys, Inc. and all associated parties.
• Cyber Attacks on Our Platform: In the event of any cyber attack, security breach, or malicious activity directed at the GenieTok™ platform, our servers, infrastructure, or any systems operated by AppDaddys, Inc., you agree to hold harmless and covenant not to sue AppDaddys, Inc. and all associated parties for any resulting damages, data loss, service interruptions, or other consequences.
• Third-Party Infrastructure: You further agree to hold harmless AppDaddys, Inc. for any cyber attacks or security incidents affecting third-party services integrated with or utilized by the GenieTok™ platform, including but not limited to cloud hosting providers, payment processors, AI service providers, and deployment platforms.

WAIVER OF CLAIMS: By using the GenieTok™ platform, you expressly waive any and all claims against AppDaddys, Inc. arising from force majeure events or cyber security incidents, whether such incidents affect your applications or the GenieTok™ platform itself. This waiver applies regardless of the cause, origin, or nature of the attack or event.

14. Third-Party Services

The GenieTok™ platform integrates with various third-party services including but not limited to Vercel, Stripe, and various AI providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. AppDaddys, Inc. is not responsible for the practices or content of third-party services.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

16. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.
